Terms of Service

Effective date: 1 August 2025

Please read these Terms carefully. By accessing this website or engaging DGICT for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

1. About DGICT

DGICT is a software development and digital services company based in Abuja, Nigeria. We provide services including web development, mobile application development, blockchain development, UI/UX design, desktop software, and graphic design (“Services”).

Our registered address is PLOT197 ALONG CHAMPONS GBAZANGO AREA OFFICE, Abuja, Nigeria.

2. Acceptance of Terms

By using this website or submitting a service request, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging us on behalf of a company or organisation, you confirm that you have the authority to bind that entity to these Terms.

3. Services

All Services provided by DGICT are subject to a written agreement or Statement of Work (SOW) agreed between DGICT and the client prior to commencement. The specific scope, timeline, deliverables, and pricing will be documented in that agreement.

We reserve the right to decline any project request at our sole discretion, including projects that conflict with our values or applicable law.

4. Quotations and Pricing

Any pricing provided through our Service Request form or initial consultation is an estimate only and not a binding quotation. A formal quotation will be provided after a discovery session and review of your project requirements.

Prices are quoted in Nigerian Naira (NGN) or US Dollars (USD) as agreed between the parties. All applicable taxes are the responsibility of the client unless expressly stated otherwise.

5. Payment Terms

Unless otherwise agreed in writing, our standard payment schedule is:

  • 50% deposit required before work commences.
  • 50% balance due upon project completion before final delivery or deployment.

DGICT reserves the right to suspend or withhold deliverables until payment obligations are met. Late payments may attract interest at the rate of 5% per month on the outstanding balance.

6. Client Responsibilities

To allow us to deliver your project on time and to the agreed specification, you agree to:

  • Provide accurate, timely, and complete project information and materials.
  • Respond to queries and provide approvals within agreed timeframes.
  • Ensure that any content, images, or materials you supply do not infringe third-party rights.
  • Provide access to necessary third-party systems, accounts, or credentials required for the project.

Delays caused by the client's failure to meet these obligations may result in revised timelines and additional costs, for which the client will be responsible.

7. Intellectual Property

Your content: You retain ownership of all content, data, and materials you provide to DGICT. By providing them, you grant us a limited licence to use them solely for the purpose of delivering your project.

Deliverables: Upon receipt of full and final payment, DGICT assigns to you all intellectual property rights in the custom deliverables created specifically for your project, except where those deliverables incorporate third-party licenced components or our pre-existing tools and frameworks.

DGICT tools & frameworks: We retain ownership of all pre-existing code, tools, libraries, and frameworks used in delivering your project. You are granted a perpetual, non-exclusive licence to use them as part of the delivered product.

Portfolio rights: Unless you request otherwise in writing, DGICT reserves the right to display the completed project in our portfolio and marketing materials.

8. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of a project. This obligation survives the termination of any service agreement. Where required by a client, DGICT is willing to execute a separate Non-Disclosure Agreement (NDA).

9. Revisions and Change Requests

The number of included revision rounds will be specified in the project agreement. Change requests that alter the agreed scope of work will be treated as new work and quoted accordingly.

10. Warranties and Disclaimers

DGICT warrants that the Services will be performed with reasonable skill and care, and that deliverables will materially conform to the agreed specification.

This website and its content are provided “as is” without warranties of any kind, express or implied. We do not warrant that the website will be continuously available or free from errors.

We do not guarantee specific business outcomes, revenue growth, or rankings resulting from our Services, as these depend on factors outside our control.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, DGICT's total liability to you for any claim arising from or related to our Services shall not exceed the total fees paid by you for the specific project giving rise to the claim.

In no event shall DGICT be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

12. Termination

Either party may terminate a service agreement with written notice if the other party materially breaches the agreement and fails to remedy the breach within 14 days of written notice.

In the event of termination, you shall pay for all work completed up to the date of termination. Any deposit paid is non-refundable unless DGICT is in material breach.

13. Governing Law and Disputes

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Both parties agree to attempt to resolve any dispute through good-faith negotiation before resorting to legal proceedings.

Any unresolved dispute shall be subject to the jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria.

14. Changes to These Terms

We may update these Terms from time to time. The effective date at the top of this page will be updated to reflect any changes. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
